Experienced Transactional Paralegal

Location: Spring, Texas

Firm Overview

We are a well-established, mid-sized Texas business law firm with multiple practice areas and a strong professional support team. Our transactional practice handles sophisticated business transactions, mergers & acquisitions, formations & governance, commercial real estate, and finance matters for businesses, investors, and lenders. We are seeking an experienced Transactional Paralegal to support this growing practice group.

This is a full-time, in-office position offering competitive compensation and fully paid benefits, including medical, dental, vision, and a 401(k) with employer matching.

Position Summary

The Transactional Paralegal will provide comprehensive support to attorneys handling business transactions, commercial real estate, and financing matters. The ideal candidate is highly organized, detail-oriented, and experienced in managing complex transactions from inception through closing.

Key Responsibilities

Business & Corporate Transactions

  • Assist with entity formation, restructuring, and governance matters (LLCs, corporations, partnerships)
  • Prepare and organize contracts, agreements, resolutions, and ancillary transaction documents
  • Maintain entity records and assist with ongoing compliance requirements
  • Prepare closing checklists and assemble closing binders

Commercial Real Estate & Finance

  • Support commercial real estate acquisitions, dispositions, leasing, and development transactions
  • Assist with lender-side and borrower-side financing matters
  • Review title commitments, surveys, and due diligence materials
  • Coordinate closings with lenders, title companies, opposing counsel, and clients
  • Prepare and file UCC financing statements and conduct UCC searches

General Responsibilities

  • Manage multiple matters and deadlines simultaneously
  • Maintain electronic and physical files in accordance with firm standards
  • Communicate professionally with clients, opposing counsel, and third parties
  • Work collaboratively with attorneys and support staff across practice groups

Qualifications

Required

  • Minimum 5+ years of paralegal experience in a transactional or business law practice
  • Demonstrated experience with commercial real estate and finance transactions
  • Strong proficiency with Microsoft Word, Outlook, and Excel
  • Excellent organizational skills and attention to detail
  • Ability to work independently and manage competing priorities

Preferred

  • Texas paralegal certification or equivalent practical experience
  • Experience with document management and practice management systems

We are seeking an experienced Estate Planning and Probate Paralegal to support attorneys handling estate planning, probate, and trust administration matters.

Position Summary

The Estate Planning and Probate Paralegal will provide direct support to attorneys handling wills, trusts, probate proceedings, and trust administration. The ideal candidate has a strong understanding of Texas probate procedures, excellent client-facing skills, and the ability to manage multiple matters with accuracy and professionalism.

Key Responsibilities

Estate Planning

  • Assist with preparation of wills, trusts, powers of attorney, and related estate planning documents
  • Draft and revise ancillary estate planning documents and correspondence
  • Coordinate execution of estate planning documents and maintain original document files

Probate & Trust Administration

  • Prepare probate pleadings and filings in Texas courts
  • Assist with trust administration matters, including asset inventories and distributions
  • Coordinate with clients, courts, financial institutions, and third parties
  • Track deadlines and court requirements

Client & Matter Management

  • Serve as a point of contact for clients during probate and estate administration matters
  • Maintain accurate and organized files (electronic and physical)
  • Manage calendars, deadlines, and follow-ups
  • Ensure compliance with firm procedures and confidentiality requirements

Qualifications

Required

  • Minimum 3+ years of paralegal experience in estate planning and probate
  • Strong knowledge of Texas probate procedures and court filings
