Biography
Clay is an experienced attorney who has managed and led international and domestic business transactions for more than 15 years. He has served both as in-house legal counsel for a Houston-based investment bank and as managing partner of a full-service business-transaction firm. His wealth of knowledge, experience and calm demeanor provide a stable foundation for his clients to make the best possible business decisions. Clay is the consummate problem solver and deal maker and provides creative, reasonable, cost-effective solutions to the most challenging of business affairs.
Clay’s transactional practice concerns legal guidance and business transactions in the full life-cycle of a company, including Entity Structuring and Business Formations, Mergers & Acquisitions, Securities, Debt and Equity Offerings, Master Service Agreements, Commercial and Personal Loan Agreements, Sales and Distribution Agreements, Manufacturing Agreements, Business Succession Planning, Software Licensing Agreements, Employment and Contractor Agreements, Commercial Real Estate, Finance, and Construction Agreements.
Prior to embarking on his legal career, Clay served as a Captain in the U.S. Army Field Artillery, leading soldiers in duty stations across the world, including California, Kansas, and Kuwait.
Outside of the workplace, Clay is a man of service and devotion. He is active in his community, in his children’s school, and in his church. Clay lives in The Woodlands with his wife and five children. He is a passionate sports fan and enjoys golf, hiking, fly-fishing, wine, scotch, and supporting his children in their numerous activities and sports.
